The rules that govern use of the MyProspectPortal platform.

These Terms of Service ("Terms") are a legal agreement between you and My Prospect Portal LLC ("MyProspectPortal," "we," "us," or "our") governing your access to and use of the MyProspectPortal website, dashboard, AI chatbot, CRM, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a business, you represent that you have authority to bind that business, and "you" refers to that business.
Our Privacy Policy explains how we collect and use information and is incorporated into these Terms by reference.

You must be at least 18 years old and able to form a binding contract to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. MyProspectPortal provides an AI-powered website chatbot, lead capture, CRM, and (where enabled on your plan) two-way text messaging tools for small businesses. We may add, change, or remove features at any time. We do not guarantee the Service will be uninterrupted, error-free, or available at all times, though we work to keep it reliable.
You agree not to use the Service to:
We may suspend or terminate accounts that violate this section, with or without notice.
If your plan includes text messaging, you are responsible for obtaining and documenting proper consent from your own leads and customers before texting them, and for complying with the Telephone Consumer Protection Act (TCPA), CTIA guidelines, and all other applicable messaging laws. MyProspectPortal provides the messaging infrastructure (via Twilio) but does not collect consent on your behalf. Misuse of the messaging feature, including sending unsolicited messages, may result in immediate suspension of your account and messaging number. The chatbot uses third-party AI language models to generate responses based on content you provide. AI output can be inaccurate or incomplete. You are responsible for reviewing chatbot responses and the knowledge base content it is trained on, and for not relying on AI output for legal, medical, financial, or other decisions requiring professional advice. We are not liable for actions taken based on AI-generated content.
You retain ownership of the business content, leads, and customer data you submit to the Service ("Your Data"). You grant us a limited license to process Your Data solely to provide, secure, support, and improve the contracted Service for your benefit. We own all rights in the MyProspectPortal platform, software, and branding. Nothing in these Terms transfers our intellectual property to you, or your intellectual property to us beyond the limited license described above.
This limited permission does not transfer ownership and does not permit us to use Your Data to train shared or cross-customer AI models.
Before connecting or importing, an account owner must affirmatively authorize the disclosed data categories and operations. You represent that you have appropriate authority, rights, notices, and lawful bases for the data and instructions you provide; will comply with applicable privacy, marketing, communications, and third-party CRM terms; and will not import data unlawfully. These responsibilities do not limit obligations that applicable law independently places on My Prospect Portal.
Importing creates a separate copy in My Prospect Portal. Disconnecting stops future access and synchronization but does not automatically delete imported copies or records already sent to a third-party CRM. You may delete local contacts and export account data through Settings. Third-party APIs, scopes, product tiers, rate limits, and availability may change and can limit integration functionality.
The Service relies on third-party providers, including Supabase (database), Twilio (SMS), Stripe (payments), AI language model providers such as OpenAI, and n8n Cloud (automation). We are not responsible for outages, errors, or changes made by these third parties, though we will work to minimize disruption to you.
You may stop using the Service and cancel your account at any time. We may suspend or terminate your access to the Service, with or without notice, if you violate these Terms, fail to pay fees due, or if we reasonably believe your use poses a risk to us, other users, or third parties. Upon termination, your right to use the Service ends immediately; we will handle Your Data as described in the Privacy Policy.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYPROSPECTPORTAL AND ITS OWNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
You agree to indemnify and hold harmless MyProspectPortal and its owners from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any law or third-party right, including messaging consent obligations described in Section 5, except to the extent a claim results from My Prospect Portal's own violation of law, breach, or misconduct.
These Terms are governed by the laws of the State of Wisconsin, without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the state or federal courts located in Wisconsin, and you consent to personal jurisdiction there.
We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
